Terms of Service

These Terms of Service constitute a legally binding agreement between you and MKOMWA FAMILY LLC, a limited liability company organized and existing under the laws of the State of Utah, United States of America. By accessing our website, engaging our services, or entering into any business relationship with us, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

1. Scope of Services

MKOMWA FAMILY LLC provides technology and IT services including but not limited to computer systems design, IT consulting, software engineering, cloud and DevOps solutions, cybersecurity, and technical support. The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate statement of work or service agreement executed by both parties.

2. Client Obligations

Clients agree to provide accurate, complete, and timely information necessary for the performance of services. Clients are responsible for maintaining the security of their own systems, credentials, and data. MKOMWA FAMILY LLC shall not be liable for delays or failures in performance resulting from a client failure to meet these obligations.

3. Intellectual Property

All intellectual property rights in any work product, code, documentation, designs, or other materials created by MKOMWA FAMILY LLC in the course of an engagement shall be assigned to the client upon full payment of all fees owed, unless otherwise agreed in writing. Pre-existing tools, frameworks, and methodologies owned by MKOMWA FAMILY LLC prior to the engagement remain our exclusive property.

4. Payment Terms

Payment terms will be specified in each statement of work or service agreement. Unless otherwise stated, invoices are due within thirty days of issuance. Late payments may accrue interest at the rate of one and one-half percent per month or the maximum rate permitted by applicable law, whichever is less. MKOMWA FAMILY LLC reserves the right to suspend services for accounts past due.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of a business relationship. This obligation survives the termination of any agreement for a period of five years. Confidential information includes trade secrets, business plans, technical data, customer lists, and any information marked or reasonably understood to be confidential.

6. Limitation of Liability

To the maximum extent permitted by applicable law, MKOMWA FAMILY LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services. Our total aggregate liability for any claim shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

7. Warranties and Disclaimers

MKOMWA FAMILY LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. We do not warrant that our services will be uninterrupted, error-free, or that all defects will be corrected. All services are provided as is and as available, and we disclaim all other warranties, whether express or implied, to the fullest extent permitted by law.

8. Termination

Either party may terminate an engagement upon thirty days written notice to the other party. MKOMWA FAMILY LLC may terminate immediately if the client breaches any material term of these Terms of Service or any applicable service agreement. Upon termination, the client shall pay for all services rendered and expenses incurred through the effective date of termination.

9. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Utah, United States of America, without regard to its conflict of laws principles. Any dispute arising out of or relating to these terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah. Both parties consent to personal jurisdiction and venue in such courts.

10. Indemnification

The client agrees to indemnify, defend, and hold harmless MKOMWA FAMILY LLC, its members, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to the client use of our services, breach of these terms, or violation of any applicable law.

11. Force Majeure

MKOMWA FAMILY LLC shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet disruptions, or cyberattacks.

12. Amendments

MKOMWA FAMILY LLC reserves the right to modify these Terms of Service at any time. Material changes will be posted on our website with an updated effective date. Continued use of our services after any modification constitutes acceptance of the revised terms.

13. Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the original intent of the parties.

14. Entire Agreement

These Terms of Service, together with any applicable statement of work or service agreement, constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
